Ofichem has agreed to acquire Kinentia Biosciences, a US drug substance contract development and manufacturing organisation (CDMO), in a deal that will give the Dutch company an operational presence in the US.
Kinentia, based in Rensselaer, New York, supports pharmaceutical and biotechnology companies with early-stage development, preclinical programmes and clinical development activities. The transaction remains subject to approval from the Committee on Foreign Investment in the United States (CFIUS) and other customary closing conditions.
The acquisition will complement Ofichemโs existing drug substance process development and GMP manufacturing capabilities in Europe. Following completion, Kinentia customers will be able to access Ofichemโs facilities in Ter Apel, the Netherlands, for process scale-up, regulatory support and GMP manufacturing.
Ofichem said the US presence would also allow it to work more closely with existing US customers and provide greater flexibility over where development and manufacturing activities take place. The company cited increasing interest in supply chain resilience and regional manufacturing as factors behind the expansion.
The deal will broaden Ofichemโs scientific capabilities to include polysaccharides, small peptides and complex new chemical entities, alongside its existing work in small molecules, highly potent compounds requiring OEB 3-5 controls, oligonucleotides and targeted protein degradation technologies including proteolysis-targeting chimeras (PROTACs).
Subject to the necessary licences and approvals, Ofichem also intends to explore establishing US capabilities for controlled substances.
Following completion, its drug substance business will operate from sites in New York, Ter Apel and Uppsala, Sweden, covering activities from early scientific and analytical development through process development, scale-up and GMP manufacturing.
Dr Weite Oldenziel, CEO of the Ofichem Group, said the acquisition would strengthen the companyโs US presence while complementing its European development and manufacturing capabilities.
Financial terms of the transaction were not disclosed.
